Terms of Service
Last updated: [EFFECTIVE DATE] — draft, not yet legally finalized.
1. Who these terms are between
These Terms of Service ("Terms") are a contract between [LEGAL ENTITY NAME] ("Stemarks", "we", "us"), registered at [REGISTERED ADDRESS], and the person or business ("you", "tenant") that creates an account on the Stemarks platform at stemarks.com. By creating an account or using the platform, you agree to these Terms.
2. What Stemarks provides
Stemarks is a booking and payments platform: it lets a service business ("tenant") define its services, working hours and team, and gives that business's own customers a public page to book and pay for appointments online.
3. Accounts and eligibility
- You must provide accurate information when creating an account and keep it up to date.
- You're responsible for anything that happens under your account, including team members you invite.
- You must be legally able to enter into a contract on behalf of the business you're signing up.
4. Your responsibilities as a tenant
- You are the data controller for your own end customers' personal data (name, email, phone, booking details) — Stemarks processes it on your behalf as described in the Privacy Policy.
- You're responsible for the accuracy of the services, prices and availability you publish on your booking page.
- You must not use the platform for anything illegal, fraudulent, or that infringes someone else's rights.
5. Payments
Payments made by your customers through your booking page are processed by Stripe. Stemarks does not store card details, and does not take a percentage or transaction fee from your bookings — 100% of the price you set is charged to your customer via Stripe Checkout.
Using the Stemarks platform itself is billed as a one-time setup fee plus a monthly plan, as published on our pricing page. [EXACT BILLING MECHANISM — invoice? Stripe Payment Link? recurring subscription? — TBD].
Refunds to your end customers are [REFUND POLICY — TBD] — until this is defined, handle refund requests directly and contact us if you need help processing one through Stripe.
6. Acceptable use
You agree not to:
- Attempt to access another tenant's data or bypass access controls
- Interfere with or disrupt the platform's operation
- Use the platform to send spam or collect data unlawfully
- Reverse-engineer or resell the platform without our written permission
7. Intellectual property
Stemarks owns the platform, its code, design and branding. You own the content you put into it (your services, customer data, business information). You grant us the limited right to store and process that content solely to provide the service to you.
8. Availability and changes
We aim to keep the platform available and reliable, but we don't guarantee uninterrupted access. We may update or change features over time. The platform is provided "as is", without warranties of any kind, to the extent permitted by law.
9. Limitation of liability
To the extent permitted by law, Stemarks is not liable for indirect, incidental or consequential damages arising from your use of the platform. [LIABILITY CAP / JURISDICTION-SPECIFIC CARVE-OUTS — TBD, needs legal review].
10. Termination
You can stop using the platform and close your account at any time. We may suspend or terminate an account that breaches these Terms or the Acceptable Use section above. On termination, your data is handled as described in the Privacy Policy.
11. Governing law
These Terms are governed by the laws of [GOVERNING LAW / COUNTRY], and any dispute will be handled by the courts of [JURISDICTION], unless local consumer-protection law gives you other rights that can't be waived.
12. Changes to these terms
We'll update the "Last updated" date above whenever these Terms change, and post material changes here before they take effect.
